Mr Krzysztof A. Zakrzewski
A graduate of Law and Administration Faculty of Warsaw University, legal counsel. The specialist in the field of mergers and acquisitions, privatization, capital markets and commercial and civil law and arbitrage. He is a co-founder of the law firm Domański Zakrzewski Palinka and since 1999 he has been its Managing Partner. He participated in the legislation works on the Act on privatization of public enterprises and the Act on companies with foreign participation. He was a many years’ adviser and representative to the Minister of Privatization. He cooperated with the Privatization Center Fund, belongs to the Polish-Japanese Economic Committee. A legal counsel and negotiator in many merger and acquisition transactions in Poland and abroad, including the public market. The Arbiter of the Arbitrage Court at the Polish Chamber of Commerce in Warsaw. The Arbiter of the Arbitrage Court at Polish Confederation of Private Employers Lewiatan. On many occasions he was a proxy of the national and international parties in the arbitrage proceedings as well as arbiter including but not limited to Abritrage Tribunal in Vienna. He was a member of the Supervisory Boards including but not limited to: BUDOKOR S.A., ROMET S.A., and also the Chairman of the Supervisory Board of IX NFI im. Eugeniusza Kwiatkowskiego S.A. At present he is a chairman of the Supervisory Board of BBI Capital S.A. He is a member of the District Chamber of Legal Advisers in Warsaw and International Bar Association. He speaks English and French fluently.

Mr Mieczysław Halk
(44 years old) graduate of the Higher Officer’s College of Quatermaster Services and the University of Economy in Poznań, Faculty of Economics, Trade and Services, visiting student at the University of Wisconsin (scholarship was organized by the Georgetown University Banking Management), in the years 1997-2000 acquired the MBA degree at the University of Gdańsk. He gained his vast professional experience in the following companies: in years 1990-1992 in UPUP ELEKTRON Sp. z o.o. [limited liability company] Gdynia – as a Head of the Trade Division; 1992-1994 EKOTRONIK Sp. z o.o. [limited liability company] Gdańsk- head of the Trade Division; 1995-1999 Bank Komunalny S.A. [joint-stock company] in Gdynia (currently Nordea) Bank Assistant at the Analyses and Liquidity Unit and since April 1996 - Manager of the Investment Banking Department; 1999-2002 Bank Gospodarki Żywnościowej S.A. [joint-stock company] in Warsaw - Manager of the Investment Banking Department; in the years 2002-2003 General Manager in Dr Witt S.A. company in Piaseczno; in years 2003-2004 Key Account Manager - Member of the Management Board of BILLBIRD S.A. [joint-stock company] in Cracow, responsible for servicing key customers and management of the company at the Management Board level; in 2005 he was the Managing Director in BORYSZEW S.A. [joint-stock company] in Sochaczew; in years 2006-2007 Vice-President of the Management Board of NFI MIDAS S.A. [joint-stock company] in Warsaw and in 2007 the President of the Management Board of II NFI S.A. [joint-stock company] in Warsaw, responsible for managing the national investment fund; in years 2009-2010 President of the Management Board of TFI Contango S.A. [joint-stock company] (currently BPS TFI S.A. [joint-stock company]) ; Consultant of the Management Board of this company until January 2011

Mr Michał Popiołek
(38 years old), Director of Structural Financing and Mezzanine Department Director in BRE Bank. He has been working in investment banking and consulting companies for the last past 15 years, and the last 11 years in BRE Bank. Within 1999-2003 he was an investment director, responsible for capital investments in BRE Bank (including but not limited to Vectra, Billbird, eCard). After the change of bank’s strategy he was responsible for sale of capital portfolio (including but not limited to Telbank, Elektrim, Polcard, NIF’s). Since 2006 he has implemented mezzanine financing in BRE. At present he is responsible for credit portfolio amounting to few several millions zlotys (including financing the pProject finance and syndicated loans. Before the work in BRE Bank Michał Popiołek had worked for 2 years in consulting arm of EVIP company, where he had dealt with corporate finance counseling and implementation of controlling systems. Within From 1995 -to 1997 he worked for the Polski Bank Inwestycyjny S.A. (now Kredyt Bank) as investment officer, he was engaged in the several mergers and acquisitions performed by this bank. Earlier he had worked for Bank Handlowy w Warszawie (now Citibank) as an investment analystic. Before its banking career he was a co-owner of software company (software for construction). Michał Popiołek has been and is the member of the Supervisory Boards of many companies including but not limited to Novitius, Vectra, Mennica, PKM Duda, Telbank, eCard, BRE Agent Transferowy. He graduated Warsaw School of Economics at the faculty Finance and Banking. In 2010 he completed the AMP program in IESE Business School in Barcelona.

Mr Rafał Lorek
A graduate of the Warsaw School of Economics. 
Most of his professional carrier is linked to the capital market in Poland. He was working for some of the largest institutions providing investment banking and wealth management services. He started his career as a broker in Bank Handlowy, then Societe Generale Securities Polska, between 1995 and 2000. During the period from 2001 to 2005 he was working for CAIB Investment Management S.A. as the Account Manager, and then as the Deputy Director of the Account Manager Team. Between 2005 and 2007 he was working as the Senior Wealth Manager in Citibank Polska. From 2007 to 2008 he was employed by Bank Sal. Oppenheim Jr. & CIE Austria AG as the Vice President Private Banking. Since 2008 he ran his own consulting company R.S.P. LOREK. Since June 2010 he has been the President of the Management Board of the company Lorek Pawlak i Wspólnicy Sp. z o.o. He is a member of the Supervisory Boards of: Grupa Lotos S.A., BBI Development NFI S.A. and Automotive Components Europe S.A.

Mr Paweł Turno,
(50 years), sociologist, he studied at Poznań University of Economy and at Adam Mickiewicz University in Poznań, he is a graduate of Sociology Institute of Adam Mickiewicz University in Poznań, where he worked for two years as an assistant. He was one of co-founders and within from 1989 -to 1997 the President of the Management Board of Emax Sp. z o.o. and within from 1990 -to 1994 the founder and President of AMS S.A. Now Mr. Paweł Turno is the President of the Management Board of BB Investment S.A. (previously within from 1998 -to 2000 BB Investment Sp. z o.o.) and member of the following Supervisory Boards: TELL S.A., Sygnity S.A., BBI ZENERIS NFI S.A., BBI Development NFI S.A. and Public Profits Sp. z o.o. Mr. Paweł Turno is also the member of the Polish Landowners Association, Domus Polonorum Association and Member of the Raczyński Library Fund in Poznań.
